Terms of Service

1. Agreement to Terms

By accessing and using the services of Hack Equilibrium ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Hack Equilibrium.

If you do not agree to these Terms, please do not use our services or website.

2. Description of Services

Hack Equilibrium provides themed house party planning services including but not limited to:

• Event planning and coordination
• Theme decoration and design
• Entertainment services
• Catering coordination
• Setup and cleanup services
• Vendor management and coordination

All services are provided subject to availability and in accordance with our service packages and pricing.

3. Booking and Reservations

3.1 Service Agreement

A binding service agreement is created when:

• You accept our written proposal or quote
• You provide the required deposit payment
• We confirm your booking in writing

3.2 Deposit and Payment

A non-refundable deposit of 50% of the total service cost is required to secure your booking. The remaining balance is due 7 days before your event date.

3.3 Availability

All bookings are subject to availability. We recommend booking at least 4-6 weeks in advance to ensure optimal service availability.

4. Payment Terms

4.1 Pricing

All prices are quoted in Canadian dollars (CAD) and are subject to applicable taxes. Prices may vary based on location, date, guest count, and specific service requirements.

4.2 Payment Methods

We accept payment by cash, check, e-transfer, and major credit cards. Processing fees may apply for credit card payments.

4.3 Late Payment

Late payment fees of 2% per month may be applied to overdue balances. Services may be suspended for accounts more than 30 days overdue.

5. Cancellation and Refund Policy

5.1 Client Cancellation

• More than 30 days before event: 50% refund of payments made (excluding deposit)
• 15-30 days before event: 25% refund of payments made (excluding deposit)
• Less than 15 days before event: No refund

5.2 Company Cancellation

In the unlikely event we must cancel your booking, we will provide full refund of all payments and assist in finding alternative service providers when possible.

5.3 Force Majeure

Neither party shall be liable for delays or cancellations due to circumstances beyond reasonable control, including but not limited to natural disasters, government restrictions, or public health emergencies.

6. Client Responsibilities

As our client, you agree to:

• Provide accurate information about your event requirements
• Ensure venue access and necessary permits are obtained
• Inform us of any venue restrictions or special requirements
• Provide final guest count at least 7 days before the event
• Ensure payment according to agreed terms
• Treat our staff and vendors with respect
• Be responsible for the conduct of your guests

7. Liability and Insurance

7.1 Company Liability

Our liability is limited to the total amount paid for services. We are not liable for:

• Indirect, consequential, or punitive damages
• Damage to venue property by guests
• Personal injury to guests (except due to our negligence)
• Loss or damage to personal property
• Delays due to circumstances beyond our control

7.2 Insurance

Hack Equilibrium maintains general liability insurance. Clients are advised to verify their own insurance coverage for events at their property.

8. Intellectual Property

All creative concepts, designs, and materials developed by Hack Equilibrium remain our intellectual property. Clients may not reproduce or use our designs for other events without written permission.

Photos and videos of events may be used by Hack Equilibrium for marketing purposes unless client specifically opts out in writing.

9. Changes to Services

Changes to booked services may be requested up to 14 days before the event date. Changes may result in additional charges or require renegotiation of the service agreement.

We reserve the right to make reasonable substitutions of similar quality if original items become unavailable.

10. Vendor Relationships

When we coordinate with third-party vendors on your behalf, you acknowledge that:

• Vendors are independent contractors
• We are not liable for vendor performance or failures
• Vendor contracts and policies apply separately
• Any disputes with vendors must be resolved directly

11. Privacy and Confidentiality

We respect your privacy and will handle personal information in accordance with our Privacy Policy. We may use event details for marketing purposes unless you specifically request confidentiality.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration in Ontario, Canada if mediation fails

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada. Any legal proceedings shall be conducted in the courts of Ontario, Canada.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified Terms.

For existing bookings, the Terms in effect at the time of booking will apply.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
